3. User Obligations and Prohibited Activities

3.1 User Obligations

3.2 Prohibited Activities

Violation of any of the above prohibitions may result in immediate termination of your account, refusal of service, and where applicable, referral to law enforcement authorities. East Coast Wings reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions.

4. Intellectual Property Rights

All content available on the Site — including but not limited to text, graphics, logos, photographs, images, audio clips, video clips, data compilations, software, and the overall look and feel of the Site — is the exclusive property of East Coast Wings or its licensors and is protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other applicable laws.

The East Coast Wings name, logo, taglines, and all related product and service names, design marks, and slogans are trademarks or service marks of East Coast Wings. You are not permitted to use any of these marks without the prior written consent of East Coast Wings. All other trademarks, service marks, and trade names appearing on this Site are the property of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for personal, non-commercial purposes related to placing orders and receiving information about our Services. This license does not include the right to:

Orders are not confirmed until payment has been successfully processed and you receive an order confirmation via email or on-screen notification. East Coast Wings reserves the right to cancel any order at its discretion, including in cases of suspected fraud, payment failure, or inability to fulfill the order, and will issue a full refund in such cases.

All sales are generally considered final once an order is confirmed and preparation has begun. Refunds or credits may be issued at the sole discretion of East Coast Wings in cases of incorrect orders, food quality issues, or delivery failures. For catering or large group orders, separate payment terms and deposit requirements may apply as outlined in a written catering agreement. Chargebacks and payment disputes filed with your bank or credit card issuer without first contacting us may result in termination of your account and potential legal action to recover disputed amounts.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EAST COAST WINGS, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE SERVICES, EVEN IF EAST COAST WINGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the total aggregate liability of East Coast Wings to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (a) the total amount paid by you to East Coast Wings in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

This limitation of liability applies to all causes of action in the aggregate, whether based in contract, tort (including negligence), strict liability, or any other legal or equitable theory. Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

Notwithstanding the foregoing, nothing in these Terms shall limit or exclude liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by negligence; or (iii) any other liability that cannot be excluded or limited under applicable law.

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EAST COAST WINGS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE
• WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS

Nutritional information, allergen disclosures, and ingredient lists provided on the Site are for informational purposes only and may not reflect real-time changes to recipes or ingredients. It is the sole responsibility of the customer to inform us of any food allergies, dietary restrictions, or health conditions prior to ordering. East Coast Wings cannot guarantee that our food items are free from allergens, including but not limited to nuts, dairy, gluten, eggs, soy, and shellfish, as cross-contamination may occur in our preparation environment.

East Coast Wings makes no representations about the suitability of the information, products, or services contained on the Site for any particular purpose. Any reliance you place on such information is strictly at your own risk. We do not warrant or represent that the Site will be available at all times or that it will function without interruption or error.

References on this Site to any specific commercial products, processes, or services, or the use of any trade name, trademark, or manufacturer do not constitute an endorsement or recommendation by East Coast Wings.

8. Food Safety and Allergen Disclaimer

East Coast Wings takes food safety seriously and complies with all applicable federal and state food safety regulations, including the FDA Food Safety Modernization Act (FSMA) and applicable state health department regulations. However, we strongly advise all customers to:

East Coast Wings shall not be liable for any adverse health reactions, foodborne illness, or injury arising from failure to follow safe food handling practices after the food has been delivered or picked up, or arising from undisclosed food allergies or special dietary needs.

9. Indemnification

You agree to indemnify, defend, and hold harmless East Coast Wings and its owners, officers, directors, employees, agents, licensors, contractors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, lawsuits, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way related to:

• Your use of or access to the Site or Services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Any content, information, or materials you submit, post, or transmit through the Site
• Your negligent or intentional misconduct
• Any dispute between you and another user or any third party
• Any fraudulent payment or unauthorized use of payment information

East Coast Wings reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of East Coast Wings. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the United States of America and the applicable state laws of the state in which East Coast Wings is registered and primarily operates, without regard to conflict of law principles that would cause the application of the laws of any other jurisdiction.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Services that is not subject to arbitration as described in Section 11 shall be brought exclusively in the federal or state courts of competent jurisdiction located within the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the venue of any such proceeding.

These Terms are also subject to applicable federal laws of the United States, including without limitation the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) for consumer protection matters, the Computer Fraud and Abuse Act (18 U.S.C. § 1030) for unauthorized computer access, the Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.), and other applicable federal statutes.

To the extent applicable, residents of California may also have certain rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as more fully described in our Privacy Policy.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact East Coast Wings at [email protected] and provide a written description of the nature of your complaint and the specific relief you are seeking. We will attempt in good faith to resolve any dispute within thirty (30) days of receiving your written complaint.

11.2 Binding Arbitration

If a dispute cannot be resolved informally, you and East Coast Wings agree that any and all disputes, controversies, or claims arising out of or relating to these Terms, the Site, or the Services shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth in Section 11.4 below.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, as amended from time to time. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and East Coast Wings each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. YOU AND EAST COAST WINGS HEREBY WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.3 Arbitration Costs

Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. East Coast Wings will pay all AAA fees for any arbitration that involves claims totaling less than ten thousand U.S. dollars ($10,000), unless the arbitrator determines that your claim was frivolous or brought in bad faith.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency equitable or injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Either party may also bring individual claims in small claims court if the claims qualify and the matter remains in that court.

12. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. East Coast Wings reserves the right, in its sole discretion, to:

• Suspend or terminate your access to the Site or Services at any time, with or without notice and with or without cause
• Refuse service to any person or entity for any reason not prohibited by applicable law
• Delete or deactivate your user account and all associated data
• Cancel any pending or unfulfilled orders in the event of account termination

Any outstanding balances, pending orders, or unfulfilled obligations at the time of termination shall survive the termination of your account and must be resolved in accordance with these Terms.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Sections 4 (Intellectual Property Rights), 6 (Limitation of Liability), 7 (Disclaimers), 9 (Indemnification), 10 (Governing Law), 11 (Dispute Resolution), and 13 (Severability).

13. Changes to Terms

East Coast Wings reserves the right to modify, update, or revise these Terms of Service at any time and for any reason, in its sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where feasible, provide notice through the Site, email, or other reasonable means.

Your continued use of the Site or Services after any such changes are posted constitutes your acceptance of the revised Terms. In the event of a force majeure occurrence, we will use commercially reasonable efforts to provide notice and to minimize the impact on our customers. Orders affected by force majeure events may be delayed, cancelled, or subject to modification, and appropriate refunds or credits will be issued where applicable.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published on the Site, constitute the entire agreement between you and East Coast Wings with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, communications, representations, and understandings, whether oral or written, between the parties regarding the subject matter hereof.

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of East Coast Wings. The failure of East Coast Wings to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in the future.

18. Severability

If any provision, clause, or part of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unlawful, unenforceable, or void under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted and severed from these Terms.

Any such invalidity, illegality, or unenforceability shall not affect the remaining provisions of these Terms, which shall continue in full force and effect to the greatest extent permitted by law. The parties agree that the intent of these Terms shall be preserved to the fullest extent possible, and that any unenforceable provision shall be replaced by a valid, enforceable provision that most closely reflects the original intent of the severed provision.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, all of which shall remain in full force and effect.
